1. Publisher details, role and scope

1.1. The website www.prestaflex.ch (the “Site”) is operated by PrestaFlex Services GmbH, Dorfplatz 4, 6330 Cham (ZG), Switzerland (“PrestaFlex”, “we”).

1.2. Role: PrestaFlex acts as a financing advisor/consultant/intermediary/introducer for financing, refinancing, liquidity solutions, guarantees and private equity solutions for companies and private individuals. Unless agreed otherwise in a written mandate, PrestaFlex is not a bank, lender, investor, insurer or fund. PrestaFlex has no influence over partners’ and financial institutions’ decisions.

1.3. These Terms apply to any access to the Site, contact requests, document submissions and use of online services.

2. Information – no offer, no promise, no legal/tax advice

2.1. Site content is provided for information purposes only and does not constitute an offer, invitation or recommendation to enter into any transaction.

2.2. No promise: PrestaFlex does not guarantee financing, rates, terms or timing. Final decisions are made by partners and/or the client.

2.3. PrestaFlex does not provide legal, tax or regulatory advice. You should consult your own advisors.

3. Process and mandate

3.1. A request submitted via the Site may lead to contact and, where appropriate, a preliminary review.

3.2. Any financing search/structuring, refinancing, financial solutions, private equity or advisory engagement is carried out under a written mandate signed between the client and PrestaFlex (the “Mandate”).

3.3. The Mandate (where applicable) prevails over these Terms regarding services, fees, retainer fees, setup fees, success fees, advisory fees, confidentiality and post-termination provisions.

4. Right to refuse – compliance and reputation

4.1. PrestaFlex may accept, refuse or stop reviewing a request, in particular for compliance, risk, reputation, completeness or consistency reasons.

4.2. PrestaFlex may request additional information or supporting documents before approaching a partner.

5. User obligations

5.1. You warrant that the information provided is accurate, complete and up to date, and you will promptly notify any relevant change.

5.2. You agree not to submit falsified, misleading or fraudulent documents.

6. Compliance, KYC/AML and fraud prevention

6.1. Depending on the case and/or partner requirements, PrestaFlex may request identification documents, beneficial owner information, source of funds, etc.

6.2. Zero tolerance: fraudulent documents may lead to immediate rejection and, where legally permitted, reporting to competent authorities.

7. Electronic communications – security

7.1. Communications may occur by email, phone or video. You acknowledge internet-related risks (interception, spoofing, malware).

7.2. WhatsApp/social media: as a rule, PrestaFlex does not send documents via these channels. If you use them, you assume the risks; PrestaFlex may require re-sending via an approved channel (email, postal mail, or other secure means).

7.3. Anti-impersonation / AI / phishing: in case of doubt, PrestaFlex may require enhanced verification (call-back to a verified number, written confirmation, etc.) and pause processing.

8. Recording and audit trail

8.1. Certain calls/communications may be recorded and, where appropriate, transcribed into the CRM for quality, security, training and traceability purposes, in accordance with law and the Privacy Policy.

8.2. PrestaFlex may keep records (CRM, emails, logs) for case management, compliance and evidence.

9. Personal data – Privacy Policy

9.2. AI/LLM: PrestaFlex may use automation/AI tools to support analysis and structuring in a proportionate and secure manner as described in the Privacy Policy.

9.3. Your rights and retention periods are described in the Privacy Policy.

10. Sharing with partners/service providers and trade secrets

10.1. PrestaFlex may share strictly necessary information with partners (banks, lenders, investors, insurers, financial companies, etc.) and/or service providers (IT, CRM, security), subject to confidentiality and compliance.

10.2. Certain exchanges between PrestaFlex and its partners may be protected as trade secrets and cannot be fully disclosed.

11. No representation – no authority to bind

11.1. Unless specifically agreed in writing, PrestaFlex does not act as the client’s legal representative and has no authority to enter into contracts on the client’s behalf.

11.2. No third party is authorized to bind PrestaFlex without written approval by duly authorized signatories.

12. Intellectual property

12.1. The Site and its content (texts, trademarks, logos, documents, databases) are protected. Any reproduction or commercial use requires prior written consent from PrestaFlex.

13. Acceptable use of the Site

13.1. You must not use the Site for hacking attempts, automated scraping, malware distribution, identity theft, spam or any unlawful activity.

13.2. PrestaFlex may block access in case of abusive use.

14. External links

14.1. The Site may contain links to third-party websites. PrestaFlex is not responsible for their content or practices.

15. No warranty

15.1. PrestaFlex uses reasonable efforts to keep the Site available but does not warrant uninterrupted access or error-free operation.

16. Limitation of liability

16.1. To the extent permitted by law, PrestaFlex disclaims liability for damages arising from access to the Site, use of information, or technical events.

16.2. This limitation does not apply in case of intent or gross negligence where prohibited by law.

17. Geographical scope

17.1. The Site primarily targets users located in Switzerland. Services may also be provided in Europe depending on the case, subject to compliance and availability.

18. Changes

18.1. PrestaFlex may amend these Terms at any time. The version published on the Site applies from the moment it is posted.

19. Governing law and venue

19.1. These Terms are governed by Swiss law.

19.2. Unless mandatory law provides otherwise, exclusive venue is the registered seat of PrestaFlex.
